1Acceptance of Terms
By installing and using Codify (the "App"), you ("Merchant" or "you") agree to be
bound by these Terms of Service ("Terms"). If you do not agree to these Terms,
please do not install or use the App.
These Terms are in addition to, and do not replace, the
Shopify Terms of Service,
the Shopify Partner Program Agreement,
and any other agreements you have with Shopify.
2Description of Service
Codify is a Shopify application that provides customizable Cash on Delivery (COD)
order forms for online stores. The App enables merchants to:
- Create and customize COD order forms with a drag-and-drop builder
- Collect customer information and create orders in Shopify
- Configure fraud protection rules (IP, phone, email blocking)
- Set up quantity offers and upsells to increase average order value
- Export order data to Google Sheets (optional integration)
- Configure ad pixel tracking for Meta, TikTok, and Google Ads
- Manage orders through the COD dashboard
- Set up delivery settings and shipping provider integrations
- Customize the buy button on product pages
3Eligibility
To use this App, you must:
- Have a valid, active Shopify store
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the legal authority to bind your business to these Terms
- Comply with all applicable local, national, and international laws and regulations
- Comply with Shopify's Terms of Service and Acceptable Use Policy
4Account & Security
You are responsible for:
- Maintaining the confidentiality of your Shopify account credentials
- All activities that occur under your account through the App
- Notifying us immediately of any unauthorized access or security breach
- Ensuring your store complies with Shopify's Terms of Service
We authenticate merchants exclusively through Shopify's OAuth 2.0 and App Bridge
session tokens. We do not store your Shopify login credentials.
5Subscription Plans & Billing
Codify offers the following subscription tiers:
- Free Plan: Up to 60 orders/month with core features
- Pro Plan ($6.95/mo): Up to 300 orders/month with Google Sheets integration
- Premium Plan ($9.95/mo): Up to 600 orders/month with advanced features
- Unlimited Plan ($22.95/mo): Unlimited orders with all features
Billing Terms
- All paid plans include a 7-day free trial
- Subscription fees are billed monthly through Shopify's Billing API
- Orders exceeding plan limits incur a usage charge of $0.05 per additional order (Free, Pro, and Premium plans)
- All fees are non-refundable except as required by applicable law
- You authorize Shopify to charge your payment method for recurring subscription fees
- We reserve the right to change pricing with 30 days' prior notice
- Failure to pay may result in service suspension or downgrade to the Free plan
- You can cancel your subscription at any time through your Shopify admin
6Acceptable Use Policy
You agree NOT to use the App to:
- Violate any applicable laws, regulations, or third-party rights
- Collect customer data for purposes other than order fulfillment and legitimate business operations
- Engage in fraudulent, deceptive, or misleading practices
- Sell counterfeit, stolen, prohibited, or illegal products
- Spam, harass, or abuse customers using data collected through the App
- Attempt to hack, reverse engineer, decompile, or compromise the App's security
- Use the App in any way that could damage, disable, or impair our services
- Circumvent Shopify's checkout or payment processing systems
- Violate intellectual property rights of any party
Violation of this policy may result in immediate suspension or termination of your
access to the App.
7Data & Privacy
Our collection and use of data is governed by our
Privacy Policy, which is incorporated into these
Terms by reference.
- You are responsible for complying with applicable data protection laws (GDPR, CPRA, VCDPA, etc.) in your jurisdiction
- You must maintain a valid privacy policy on your Shopify store
- You are responsible for obtaining all necessary customer consents for data collection and processing
- Codify does not store customer personal data in our database — all customer data is stored in your Shopify orders
- If you enable Google Sheets integration, you are responsible for the security of your Google account and exported data
- If you configure ad pixels, you are the data controller for any tracking data collected on your storefront
8Shopify Platform Compliance
Codify creates orders through Shopify's official APIs (Draft Orders API). The App:
- Uses Shopify's session tokens for authentication — no third-party cookies required
- Creates orders through Shopify's official order APIs
- Processes billing through Shopify's Billing API
- Implements all mandatory GDPR compliance webhooks (customers/data_request, customers/redact, shop/redact)
- Operates within Shopify's platform guidelines and does not bypass core checkout or payment functionality
9Intellectual Property
Our Rights: The App, including all software, code,
designs, documentation, and trademarks, is our exclusive property and is protected
by copyright, trademark, and other intellectual property laws.
Your License: We grant you a limited, non-exclusive,
non-transferable, revocable license to use the App solely for your business purposes
while your subscription is active.
Restrictions: You may not copy, modify, distribute,
sell, sublicense, or lease any part of the App. You may not reverse engineer,
decompile, or disassemble any part of the App.
Your Content: You retain all rights to your store's
content, product data, and customer information. We claim no ownership over your data.
10Service Availability
- We strive for high uptime but do not guarantee uninterrupted service
- We may perform maintenance, updates, or improvements at any time
- We are not responsible for outages caused by third-party services (Shopify, Google, hosting providers, delivery services)
- We will notify you of planned maintenance when possible
- Service availability depends on your Shopify store and internet connection
11Third-Party Services
The App integrates with the following third-party services:
We are not responsible for the availability, accuracy, content, or
policies of third-party services. Your use of these integrations is at your own risk.
12Limitation of Liability
To the maximum extent permitted by applicable law: the App is provided "as is"
and "as available" without warranties of any kind, express or implied. We
disclaim all warranties, including but not limited to merchantability, fitness
for a particular purpose, and non-infringement.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total aggregate liability shall not exceed the total amount you paid us in the preceding 12 months
- We are not responsible for lost revenue, lost orders, data loss, or business interruption
- We are not liable for any actions taken based on fraud protection rules or automated blocking
13Indemnification
You agree to indemnify, defend, and hold harmless Codify and its developers,
affiliates, and service providers from any claims, damages, losses, liabilities,
and expenses (including reasonable legal fees) arising from:
- Your use or misuse of the App
- Your violation of these Terms or any applicable law
- Your violation of any third-party rights
- Customer disputes related to orders placed through the App
- Your failure to comply with data protection laws
14Termination
By You: You may uninstall the App and cancel your
subscription at any time through your Shopify admin. No refunds will be issued for
partial billing periods.
By Us: We may suspend or terminate your access if you:
- Violate these Terms or the Acceptable Use Policy
- Fail to pay subscription fees
- Engage in fraudulent, illegal, or abusive activity
- Use the App in a way that harms other merchants or customers
Effect of Termination: Upon uninstallation, your access
will cease immediately. All app configuration data, fraud protection rules, and
integration settings will be permanently deleted within 48 hours in compliance with
GDPR requirements. Orders already created in Shopify will not be affected.
15Modifications to Terms
We may update these Terms from time to time. For material changes, we will notify
you via:
- Email to the address associated with your Shopify account
- Notification in the App dashboard
Continued use of the App after the effective date of updated Terms constitutes
acceptance of those changes. If you do not agree with the updated Terms, you must
stop using the App.
16Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of
Morocco, without regard to conflict of law principles.
Dispute Resolution: Any disputes arising from or
relating to these Terms shall be resolved through:
- Good faith negotiation between the parties
- Mediation (if negotiation fails within 30 days)
- The competent courts of Morocco (if mediation fails)
17General Provisions
Severability: If any provision of these Terms is
found to be invalid or unenforceable, the remaining provisions shall remain in full
force and effect.
Entire Agreement: These Terms, together with our
Privacy Policy, constitute the entire agreement
between you and Codify regarding the use of the App.
No Waiver: Our failure to enforce any provision of
these Terms shall not be deemed a waiver of that provision or our right to enforce it.
Assignment: You may not assign or transfer these
Terms without our prior written consent. We may assign these Terms to any successor
or affiliate.
